Tax Matters – Time to revisit cross-border structures using treaty benefits

ALL businesses doing international trade will have to take into consideration the double tax agreements (DTA), if any, that Malaysia has entered into with other countries. The original intention of DTA until recently was to help carry on international business without suffering double taxation in two or more countries and to prevent fiscal tax evasion and avoidance.

Large companies over the years have not only sought relief from double taxation but have gone further to avoid paying taxes or paying minimal taxes worldwide. One of the avenues used here is treaty shopping, where they set up structures internationally with the sole aim of taking advantage of the tax benefits granted under the respective DTA.

An example of treaty shopping will be to create an intermediate holding company in a middle country which has more favourable DTA provisions, such as lower withholding tax on dividends, interests, royalties, etc, flowing through the middle country back to Malaysia without any further withholding taxes. The intermediate holding company may be a nameplate company or may not have any business presence in the middle country.

In response to this abuse of DTA, the Group of 20 countries came together and developed rules to avoid such non-double taxation. The outcome of this initiative was the issuance of the Base Erosion Profit Shifting recommendations. One of the important recommendations was introducing anti-avoidance provisions into DTA. This will be done through widening the intention of the parties to the DTA to state clearly that the DTA entered into will not create opportunities for non-taxation or reduced taxation through tax evasion or avoidance including treaty shopping arrangement aimed at obtaining reliefs for the indirect benefit of residents of third countries.

What is happening in Malaysia

Malaysia has about 75 DTA and it is extremely time consuming to negotiate with each country to amend the respective agreements. Consequently, to avoid delay in introducing changes, more than 100 countries have agreed to one single document called the Multilateral Instrument to automatically introduce this intention and related provisions into the respective treaties “in one go”.

Malaysia is one of the signatories and agreed to implement this from June 2021. In addition to incorporating the intention into the DTA, Malaysia has also accepted a specific anti-avoidance provision into the agreements. This is called a “principal purpose test” (PPT). Effectively, if obtaining the benefit under the DTA was one of the principal purposes of the arrangement of transactions that resulted directly or indirectly in obtaining the benefit, the Inland Revenue Board can deny the benefit under the DTA.

Even if the transaction has supporting commercial reasons, the tax benefit under the DTA can still be denied if one of the principal purposes in entering into the transaction was to obtain a tax benefit under the DTA.

What needs to be done?

The application of this rule will be prospective for structures introduced after 2021. However, for structures entered into prior to 2021 which is now generating income post-2021 can be challenged by the tax authorities on the basis that these structures will fail to meet the PPT because one of the main reasons for entering into the transaction prior to 2021 was to obtain a tax benefit under the DTA.

If you have such structures, you need to revisit the arrangements so that you can pass the PPT, otherwise, you will be sitting with an exposure from 2021 to date. The consequence of failure to meet the PPT would result in reallocating the income back to Malaysia and disregarding the intermediate entity.

To overcome this problem, it is important for the intermediate company in the middle country to show that there is economic substance in the middle country (i.e. economic activity, presence and perhaps assets) connected to the profit generating activities in the middle country.

Malaysian startups welcome introduction of Unicorn Golden Pass

PETALING JAYA: Malaysian startups are looking forward to the prospect of enhanced funding and talent acquisition via the country’s Unicorn Golden Pass.

ZUS Coffee COO Venon Tian said he thinks the new incentive packages to attract the world’s leading startups and venture capital firms to the country is a great move.

“Always good to be working alongside other great startups or peers – potentially pushing Malaysian startups to the next level,” he told SunBiz.

However, he said while it is common to focus solely on the presence of unicorns (highly successful startups) or the involvement of international venture capitalists, there are other crucial factors to consider.

“How does the entire ecosystem support these unicorns or other startups? It’s never just about unicorns or international VCs but the infrastructure, policies, budget and the country’s positioning matter more,” he remarked.

Meanwhile, Agritech startup Qarbotech CEO and co-founder Chor Chee Hoe said he had been longing for such an initiative from the government.

“The initiative can encourage more VCs to look at Malaysian startups and allow more capital to flow into Malaysia to support local startups and their growth,” he added.

Chor said the Unicorn Golden Pass is a great initiative to attract global unicorns into Malaysia to create a colourful startup scene.

“I’m looking forward to more details about this Unicorn Golden Pass to see the element of potential synergies of these global unicorns with home-grown startups,” he said.

Agmo Holdings Bhd CEO Tan Aik Keong said the initiative effectively addresses four key challenges typically faced when starting a company – funding, working visa, office space and tax rate.

“The initiative will make it easier for startups to launch, grow, and succeed in Malaysia’s business ecosystem,” he added

Financial advisory firm VAD Capital Group managing director Vivek Sasheendran remarked that the initiative is timely in attracting both venture capital and talent to the country.

“Imagine the media attention that comes with the valuation. Introducing the golden pass will more so garner those startups – publicity. Malaysia will be the talk of many nations,” he said

Meanwhile, assistant professor at the National Graduate Institute for Policy Studies Japan Guanie Lim acknowledged that the Unicorn Golden Pass initiative will provide some benefits to the country.

However, he expressed scepticism about Malaysia’s ability to surpass Singapore in this regard but suggested that the initiative will help Malaysia stay competitive with other larger Southeast Asian economies.

“It’s a somewhat crowded field, with peers engaging in similar activities,” he commented.

Coursera Malaysia learner base growth surges as demand for online learning rises

PETALING JAYA: Online course provider Coursera Malaysia registered higher learner base growth of nearly 30% year-over-year (y-o-y) with more than a million enrolments in the last five years, spurred by overall local demand.

“In Malaysia, Coursera has witnessed a steady 27% y-o-y growth in its learner base, now totalling more than 754,000 registered learners. This promising growth is further highlighted by 1.4 million course enrolments, marking a 4.3 times increase over the past five years from 2019.

“It is evident that amid a global talent shortage stemming from ageing populations and digital transformation, Malaysians are showing higher expectations to be upskilled as jobs become increasingly specialised,” according to its Asia-Pacific managing director, Raghav Gupta.

He said that as Malaysians increasingly embrace online learning for its flexibility, the company noted a 50% surge in the time commitment of Malaysian learners in 2023.

“The demand for learning continues to expand. We see no signs of this slowing down and anticipate a sustained demand in learning needs among both working professionals and students in the future,” he added.

Raghav cited Randstad’s global Workmonitor report released last month, which found that one in two professionals in Malaysia said they would switch jobs if they did not receive enough career development opportunities. Hence, he opined that learners on Coursera are increasingly leveraging the platform to develop career-oriented and in-demand skills, particularly in areas experiencing rapid technological advancement.

“As a result, the demand for generative artificial intelligence (GenAI) content has surged significantly in Malaysia with searches for GenAI content growing by sevenfold in 2023 compared to 2022. Notably, enrolments in GenAI courses among women learners have increased by 3.8 times between January and March 2024 compared to the same period in 2023,” Raghav told SunBiz.

Meanwhile, he said, the company foresees opportunities for collaboration between various campuses across Malaysia to offer multidisciplinary learning approach.

On the higher education front, he noted that the Ministry of Higher Education has partnered with the Malaysian Qualifications Authority (MQA) to encourage campuses to work collaboratively with industry players and learning institutions to introduce the latest skills and learning opportunities to their students.

“To put this into perspective, MQA now allows 30% of students' credits from Malaysian campuses to be obtained through online platforms, paving the way for our collaboration with numerous campuses nationwide to facilitate a multidisciplinary approach to learning,” Raghav said.

Over the past years, he said, the company has been steadily expanding its local footprint by working with industry players to upskill and reskill their employees to remain competitive in the face of growing demand for new capabilities and skill sets.

“We observe a rising number of learners from Malaysian companies utilising Coursera's platform,” he shared.

Recently, Coursera inked a memorandum of understanding with Human Resources Development Corp (HRDC) to enable companies to provide learning opportunities for their employees through the Coursera platform.

With this collaboration, Raghav said, Coursera for Business (C4B) is now claimable through HRDC, allowing companies to receive their contributed funds while keeping their employees equipped with the latest skills essential for the workforce.

Beyond individual learners, the open online course provider collaborates with companies, educational institutions and government bodies such as Telekom Malaysia and Maxis to provide targeted skills development programmes in technology, data science, leadership as well as GenAI for their partners’ employees.

Touching on its enterprise platforms, which include C4B, Coursera for Campus as well as Coursera for Government, Raghav noted that it has witnessed a surge in demand for learning solutions in Malaysia, which aligns with the Human Resources Ministry’s stance that emphasises the need for reskilling and upskilling of the workforce in response to GenAI’s impact on jobs.

Based on previous reports, he said, it is expected that more than four million Malaysians could potentially face job displacement due to automation, underscoring the pressing need for corporate learning initiatives.

“ We are confident that our combined efforts with HRDC, coupled with the current market urgency, will enable us to serve a significantly larger number of Malaysian companies and employees,” Raghav said.

OpenHouse’s AI proptech solution targets first-time housebuyers

KUALA LUMPUR: OpenHouse, an artificial intelligence property technology (AI proptech) company under the OpenMinds Group, has launched an AI proptech solution, with version one developed at a cost of RM250,000.

OpenMinds Resources developed the OpenHouse AI-driven application in collaboration with property developer TA Global Bhd to provide first-time homebuyers with access to exclusive listings and customised recommendations of housing projects.

OpenMinds Resouces and OpenHouse technology director Jan Wong said it now has more than 200 projects through its partnership with TA Global, mainly focused around the Klang Valley, as it noticed this region as one of the hotspots across Peninsular Malaysia for property buying and investment.

“This year we aim to list not less than 1,000 projects in Malaysia on the OpenHouse app before going into other regions outside the country,“ he said during the launch on Saturday.

Wong said the aim is to enhance the entire ecosystem of real estate buying and selling, including educating users. He added that OpenHouse wants to fill in the gap with AI, with navigation maps and news curated in one place.

“Our proprietary technology, RE:ai (Real Estate Al), integrates various data sources – such as news, user behaviour and property valuations – to deliver comprehensive and meaningful information that enhances a buyer’s journey.

“We integrated Al technology with map navigation into the homebuying experience to enhance customisation for our users, while at the same time working with leading developers like TA Global to offer a wide range of quality property options,” he said.

However, Wong stated that OpenHouse does not anticipate monetisation to occur within the first 12 months.

“These 12 months, we are dedicated to building the data that is being put out. (And) in trying to get more developers on board as well and also to continue to feed the AI with as much information and data as possible.

“So we’ll take at least the first year to find through all these details before going into any form of monetisation in the future,” he said.

OpenHouse’s mission is to make the dream of homeownership a reality for first-time buyers.

“We understand that finding your perfect home can be a daunting task but with OpenHouse the journey becomes seamless and exciting,” he said.

Wong stressed that its vision is to become the leading property platform for new property prelaunches and launches in Malaysia, with aspirations to expand into the Asean market.

“By leveraging Al innovative technology and strategic partnerships, OpenHouse aims to redefine the way people discover and purchase their dream homes,” he said.

The company said the technology behind OpenHouse is being updated with new functions to be rolled out in the coming months. This includes expanding the custom-built Al tool, Re:ai, to improve property recommendations and enhance the user journey experience.

On the property developer side, it said the Al system will focus on helping increase lead quality for properties through efficient matching.

LGMS’s StarSentry helps SMEs bolster defences against cyber risks

PETALING JAYA: Cybersecurity solution StarSentry – developed by LGMS Bhd through subsidiary Applied Security Intelligence – assists Malaysian small and medium enterprises by providing affordable tools to bolster cyber risk prevention.

The solution, which is set to be launched in June, was developed in collaboration with Dell Technologies OEM Solutions and Intel Malaysia.

LGMS executive chairman Fong Choong Fook said the solution is targeted towards the SME segment, which is disadvantaged by budgetary constraints when it comes to investing in cyber risk prevention compared to larger corporations with ample resources.

“SMEs so far are the most disadvantaged (segment). If you look at larger organisations, most likely they have already been building the defences and prevention mechanisms.

“However, for smaller organisations, there are disadvantage as they do not have sufficient budget to acquire security solutions and a lot of organisations do not know the kind of suitable solutions (they should acquire) as they do not know the root cause, the core problem,” he told reporters at StarSentry’s sneak preview held recently.

StarSentry, he added, works by identifying the core problem, which will aid a company in recognising optimal areas for investment in building cyber protection for their businesses.

On outlook, Fong said he is optimistic about the cybersecurity landscape this year, driven by the Cyber Security Bill 2024 that was passed by the Dewan Negara earlier this month as well as the growing awareness in cybersecurity over the years.

“More people are realising that security can be a serious disruptor for business (if taken lightly),” he added.

Fong said factors such as growing maturity, the passing of the bill as well as the advocacy on digitalisation by the Madani government will drive the cyber security industry forward in Malaysia.

LGMS’s solution aligns with the national agenda in helping the country to be more secure, he added.

Trade-related and ESG measures must be fair to developing countries - Tengku Zafrul

KUALA LUMPUR: Malaysia believes there is a need to revisit commitments to sustainable development, efficient global resources and fair and balanced trade among countries, said the Ministry of Investment, Trade and Industry (MITI).

Its minister Tengku Datuk Seri Zafrul Abdul Aziz said countries must have shared values which will result in trade policies that can contribute to equitable and sustainable development.

“However, this should not be used as non-tariff measures to restrict trade flows.

“The proliferation of trade-related environmental measures such as the threat of environmental, social and governance (ESG) by developed countries is among the most important aspects of international trade,” he said during the meeting of the equitable transition alliance.

The meeting was organised in conjunction with the World Economic Forum held in Riyadh, Saudi Arabia.

Tengku Zafrul said the proliferation of trade-related measures has emerged as potential protectionist tools that could unfairly discourage global production and trade, particularly to the developing countries.

“These measures can manifest as border instruments and compliance with these measures will undoubtedly be complicated and perhaps too costly for most developing country-exporters,” he added.

Tengku Zafrul stressed that leaving the matter unattended could potentially erode developing and least developing countries’ trade competitiveness and investment attractiveness.

Citing a report by the World Trade Organisation, environmental goods and services face an average tariff of 4.3 per cent along with numerous non-tariff measures.

“The cost of compliance, including certification, can be prohibitively expensive, especially for small and medium enterprises from developing nations.

“Such barriers necessitate a collaborative approach where developed countries not only impose these standards but also facilitate the means for compliance through technical and financial support,” he added.

Tengku Zafrul went on to say that in light of the complexities posed by ESG standards as non-tariff barriers and the significant need for capacity building and fair trade policies, a comprehensive approach is essential to ensure both environmental sustainability and economic justice, particularly for developing nations.

“Therefore, Malaysia supports and welcomes discussions on establishing effective multilateral trade rules on trade and sustainable development.

“Our commitment is evident through national policy initiatives such as the New Investment Policy, New Industrial Master Plan 2030, National Energy Transition Roadmap, and the ESG Industry Framework, which all aimed at achieving sustainable economic growth,” he said.

Rising oil and gas prices will affect Malaysia’s financial situation: Experts

PETALING JAYA: Malaysia anticipates short-term gains in trade revenue as a net oil exporter, potentially offsetting current export challenges exacerbated by the weak standing of the ringgit amid escalating conflict in the Middle East, according to experts.

Centre for Market education researcher Alfi Syahrin Ario Waskito noted that rising oil and gas prices will affect Malaysia’s financial situation, which potentially may lead to short-term increases in trade revenue within the oil and gas sector.

“It definitely offset the weak export that Malaysia faces right now with the weak standing of the MYR,” he told SunBiz.

He added, “But we also must be careful that raising prices in the long term can drive down consumer consumption because the hike will drive inflation.”

Alfi Syahrin said geopolitical factors are major drivers of oil and gas prices, compounded by rising demand in China.

Additionally, he said production cuts by Organisation of the Petroleum Exporting Countries (Opec) members, notably Saudi Arabia, and Russia have significantly contributed to global price increases.

“And with the escalation of conflict in the Middle East (between Israel and Iran) the oil price will experience a massive hike, since Iran is one of the major players in Opec,” he said.

Economic Club Of Kuala Lumpur chairman and KSI Strategic Institute for Asia Pacific deputy chairman Datuk Seri Mohamed Iqbal Rawther also noted that oil prices have risen.

He said Malaysia as an oil-exporting nation and its role in state-owned entities such as Petroliam Nasional Bhd (Petronas) may stimulate the country’s financial position.

“Those who export oil are Petronas and government-owned companies. So, this is a good thing. This means that our returns from those sales will increase, and this may stimulate Malaysia’s financial position,” he told SunBiz.

However, he said higher oil prices may also lead to increased inflation, which could impact consumer spending. “There are also concerns about the depreciation of the ringgit.”

In terms of consumers, he said the Malaysian government provides subsidies. “Therefore, market prices will not rise significantly,” he added.

SP Setia confident Setia AlamImpian will become sought-after address in Klang Valley

He said LakePoint Central, which has a net lettable area of 28,038 sq ft of retail space, is 83% taken up, with a list of tenants including JomPa Café, RAWi Authentic Fusion Cuisine, The Gorpis Kafe and Frosted by Sheena.

The retail hub includes a wellness centre (DBC Physiotherapy), a grocer and anchor tenant (Urban Marketplace), hair and beauty salon (Adanis), fashion boutique (RHR Xcluseev), and an art gallery by UiTM (Crystal Art Gallery).

Intrix set to expand overseas presence to Middle East, Australia, HK and Singapore

PETALING JAYA: Home-grown hydro and thermal technology company Intrix Group expects to begin expanding to several countries this year, underpinned by increasing demand for its technological solutions.

Founder and managing director Tee Tone Vei said the group, which currently has a presence in the United Kingdom and Malaysia, intends to extend its footprint to the Middle East by the third quarter of this year, driven by the region’s growing hotel construction pipeline.

He explained that through its research, it found that the number of hotel projects in Middle East is eight to ten times that of Malaysia’s, thus supporting its decision to explore more opportunities there.

“Dubai is usually the hub and, from there, we will radiate out (to other countries within the region) to do business. We will start with our business-to-business (B2B) offerings, then business-to-consumer (B2C),” he told SunBiz.

Aside from the Middle East, Tee shared, the group plans to expand to Australia, Hong Kong and Singapore by the fourth quarter of 2024. He added that it will begin with introducing its B2C offerings, followed by its B2B products.

However, Tee revealed that the project is in the final stages, with details being drawn up for a distributorship agreement with an “industrial distributor company” as part of its expansion into the industrial sector. Although he declined to share further details, he expressed hope of making an announcement soon.

“We aim to enter the industrial sector (because) our patented technologies have the potential to significantly reduce energy costs and carbon emissions. Following a successful prelaunch in early April, we plan an official launch by June, based on the promising feedback received,” he said.

Ar present, the group operates on B2C and B2B models for its two main segments, lifestyle and renewable, respectively.

Lifestyle features its multiusage water purifier products under the Intrix One Tap brand, while the latter, under its Intrix Project, involves heating appliances with a focus towards renewable energy and energy efficiency heating.

Tee disclosed that Intrix aims to launch a new offering with additional features under One Tap by the first quarter of 2025.

In terms of targets, he said the group has ambitious goals this year: to grow its B2B models threefold and to achieve fivefold growth in its B2C business.

“Threefold growth is not just derived from organic growth but through multiple (sources). For B2C, because the market is so big, we are targeting fivefold growth, supported by marketing efforts and maturation of channels.

“For B2B, its mostly driven by demand growth, as well geographical expansion into other regions and extension into the industrial sector,” he added.

Touching on revenue contribution, Tee shared that 45% was derived from the UK, 50% from Malaysia and the remainder from other countries in Southeast Asia, such as Thailand.

On outlook, he expressed his optimism on the water purification and renewable energy industries this year.

“Both are showing increasing growth. On our water purifier, through educating the market for the past two years, we have seen (increased) adoption as well as more referral sales. In terms of renewable energy, the attention given to it has made it easier for us to pitch to potential clients,” he said.

Commenting on green project financing, Tee opined that, at the core, despite internal quotas to fund green projects, financial institutions such as banks remain focused on basic fundamentals.

“Industries are paying a lot more attention today. Previously, when matters such as energy efficiency and others were discussed, they would only focus on payback. Nowadays, ESG (environmental, social and governance) elements (are taken into account) ... I would say the industry is booming, but its still far from the peak,” he remarked.

In terms of ESG, Tee said that since the company’s inception, Intrix has put sustainability into its design mindset as it is required to develop designs which adhere to international standards, particularly for the European market.

Tee also disclosed that the group aims to pursue a listing on Bursa Malaysia or other stock exchanges by 2029.

“Namely for two reasons, for business expansion and since we are a tech company, we want to reward the engineers’ contribution ... which is what most innovative companies practise. Many of our patent are designed by our engineers”, he said.

The company has registered a total of 19 patents worldwide over the last 20 years.

IMF's Gopinath says high U.S. deficits fueling growth, higher interest rates

WASHINGTON: The United States needs to raise revenues to bring down high budget deficits even though they are helping to fuel global growth by stoking domestic U.S. demand, International Monetary Fund First Deputy Managing Director Gita Gopinath said on Saturday.

Gopinath told a fiscal forum at the IMF and World Bank spring meetings that U.S. deficits are projected to rise for years with one of the world's steepest curves for debt.

“The high levels of deficits are also supporting growth and demand in the U.S. that have positive spillover to the rest of the world,“ Gopinath said. “But along with that growth, you’re getting higher interest rates and a stronger dollar and the second two are creating more complications for the world.”

The IMF's fiscal monitor estimates that the U.S. deficit for 2024 will reach 6.67% of GDP, rising to 7.06% in 2025 - double the 3.5% in 2015.

Gopinath said that the IMF’s annual “Article IV” review of U.S. economic policies in coming weeks will again recommend that the U.S. raise tax revenues and reform its costly Social Security and Medicare programs for older Americans to bring down deficits.

The review will largely repeat its

U.S. policy prescriptions

from last year, when the U.S. Congress was in the throes of a standoff over raising the federal debt ceiling, which threatened a potential default that would have roiled global financial markets.

Gopinath said the IMF would again recommend that the U.S. find a way to approve government funding without debt ceiling brinkmanship.

“It is certainly a risk nobody needs to have to deal with,“ Gopinath said. “This happens every year. There has to be a way to resolve this brinkmanship.”

Asked about the prospects for a widespread debt crisis in developing countries, Gopinath said: “We don’t see a systemic debt crisis happening any time soon.”
