DNB completes share subscription deals with four mobile network operators

PETALING JAYA: Digital Nasional Bhd (DNB) has completed the share subscription agreements (SSA) with four mobile network operators (MNO) in Malaysia, namely, CelcomDigi Bhd through Infranation Sdn Bhd, Maxis Broadband Sdn Bhd, U Mobile Sdn Bhd and YTL Communications Sdn Bhd through YTL Power International Bhd.

Under the terms of the SSA, the four MNO collectively acquired approximately 65.1%

equity stake in DNB, with each MNO holding about 16.3% stake. The government, represented by the Minister of Finance (Incorporated), retains about 34.9% stake and a special share in DNB for a designated period.

This follows the satisfaction of the conditions precedent under the SSA on June 20 for all four MNO to increase their equity stake in DNB.

For Telekom Malaysia Bhd (TM), the conditions precedent longstop date is Aug 21. Assuming TM completes the SSA, MoF Inc’s stake will be reduced to 30%, with the MNO collectively holding a 70% stake in DNB.

On Dec 1, 2023, DNB and MoF Inc entered into SSA with five MNO, thereby enabling the the operators’ participation in DNB through equity ownership.

DNB remains focused on delivering a world-class 5G network and driving 5G adoption nationwide to realise Malaysia’s digital aspirations.

Saudi Aramco acquires 10 % equity interest in Geely-Renault joint venture company

RIYADH: Saudi Arabian Oil Company, commonly known as Saudi Aramco, has signed definitive agreements to acquire a 10 per cent equity interest in HORSE Powertrain Limited, a global powertrain solutions company formed by Renault Group and Chinese automaker Geely Auto Group, Xinhua quoted the Saudi Press Agency (SPA) report on Saturday.

According to a statement by Aramco, after the acquisition, Renault and Geely will each retain a 45-per cent equity stake, and the price to be paid by Aramco at closing, which is subject to customary closing conditions including the receipt of regulatory approvals, will be based on an enterprise valuation of €7.4 billion (US$7.93 billion).

The investment aims to enhance Aramco’s contribution to the global energy transition through the development and commercialisation of more efficient mobility solutions, the SPA reported.

“Aramco’s investment is expected to directly contribute to the development and deployment of affordable, efficient, and lower-carbon emission internal-combustion engines globally,“ said Ahmad O. Al-Khowaiter, Aramco’s executive vice president of technology and innovation.

“With Geely and Renault, we plan to leverage our collective expertise and resources to support ground-breaking advances in both engine and fuel technologies,“ he added.

Meanwhile, HORSE Powertrain Limited said in a press release on its website that the investment by Aramco will support its growth and contribute to the development of competitive powertrains and synthetic fuel solutions.

It noted that the company is expected to produce 5 million powertrain units annually, encompassing a complete portfolio of advanced powertrain technologies for partners around the world. - Bernama, Xinhua

Ringgit expected to be stronger against US dollar in the last quarter of 2024 - MOF

KUALA LUMPUR: The ringgit is expected to be stronger against the US dollar in the last quarter of 2024, according to Deputy Finance Minister Lim Hui Ying.

She said the performance of the ringgit is on the right track in strengthening against the greenback over the last few months based on the economic and investment performance.

In February, Finance Minister II Datuk Seri Amir Hamzah Azizan targeted the value of the ringgit to be traded at RM4.50 against the US dollar at the end of the year driven by the country’s positive economic position.

“Malaysia continues to record success in attracting foreign investment with approved investments soaring in the first quarter.

“This development shows that investors are increasingly confident in the development of the country’s economy and the efforts made by the government,” Lim said at the Dewan Rakyat today in reply to a question from Hassan Abdul Karim (PH-Pasir Gudang) about the performance of the ringgit against the US dollar recently.

Lim said the government also expects this inflow of funds and foreign investment to continue and further strengthen the ringgit.

The country recorded an approved investment of RM83.7 billion for the first quarter of this year, an increase of 13% year-on-year, and of that amount, RM47 billion was foreign direct investment while RM36.7 billion was domestic direct investment.

Lim said the ringgit was also the only regional currency that strengthened by 1.4% against the US dollar since Feb 26, 2024.

On the other hand, regional currencies such as the Indian rupee contracted -0.8 per cent, the Singapore dollar (-0.8%), the Chinese yuan (-0.9%), the Thai baht (-1.8%), the Taiwan dollar (-2.4%), the Korean won (-3.9%), the Philippine peso (-4.9%), the Indonesian rupiah (-5.1%) and the Japanese yen (-5.3%).

Tax Matters – Issues arising from internal group restructuring

IT IS very common for groups of companies to undertake restructuring for various reasons: reduction of operating costs, avoiding duplication of resources, reducing financing costs, reducing bureaucratic compliance and improving tax efficiency.

Merging businesses within the group will reduce the need to prepare an extra set of tax returns, eliminating the need to manage transfer prices (direct and indirect taxes) and prepare transfer pricing documentation and possibly elimination of the need to account for sales and service tax for intercompany transactions. Merging businesses will allow the use of current year business losses generated from one business against the profits of another business.

Common types of restructuring

The two common types of internal restructuring will be through share transfers or asset transfers. Asset transfers can be of two types – selling the business “lock, stock and barrel” to another entity within the group, or the business will be broken down and sold on a piecemeal basis (i.e. assets and liabilities will be sold separately).

Pointers to watch out for

► Share transfers

In the case of shares being transferred within the group, stamp duty will be payable at the rate of 0.3% of the consideration or market value of the shares (if the company is listed), whichever is higher. If the shares are not listed, 0.3% stamp duty will be payable on the higher of the consideration or net tangible asset of the company.

The transfer of shares could also trigger Capital Gains Tax (CGT) where unlisted shares are transferred within the group. The government earlier announced that CGT exemptions will be given on the transfer of shares involving internal group restructuring. However, to date, no gazette order or rules have been introduced to effect the exemptions. Since the introduction of CGT in 2024, there is no need to check whether such shares are Real Property Company shares since such gains will no longer be subject to Real Property Gains Tax (RPGT).

Business transfers

If the business is transferred as a whole and that will include all assets and liabilities, staff and business connections, the tax issues you need to consider will cover stamp duty, income tax and potentially RPGT. Since the business is viewed as a “property” for stamp duty purposes, the stamp duty applicable will be at the ad valorem rate of 1% to 4% based on the higher of the consideration or market value of the business. The market value can be based on multiples of the price earnings ratio, discounted cash flow, and any other acceptable valuation methodologies.

If the business is transferred as a whole, the consideration will be regarded as capital in nature, and the company should not be subject to income tax. However, if there are any real properties involved in the transfer of the business, then RPGT will be triggered.

► Piecemeal transfers

If there is a business restructuring involving the transfer of assets and liabilities separately on a piecemeal basis, it is extremely important for stamp duty purposes that the fragmentation is not intended to avoid paying stamp duty at a higher ad valorem rate. Normally, if there is a piecemeal sale between two third parties, the buyer will not buy all the assets and liabilities but instead he will pick and choose assets and liabilities that he is prepared to take over. The same characteristics should also be present in transfers on a piecemeal basis between related companies to avoid being labelled as a transfer of a business as a whole.

In this scenario, you need to look at the tax implication of each asset and liability that is being transferred. There are different tax treatments for the transfer of stocks, debtors, creditors, fixed assets and real properties, intangibles, bank loans, provisions transferred, employees, concessions, long-term contracts, etc.

Finally, you should be aware that there are provisions in the Stamp Act 1949 and RPGT Act 1976 that provide exemptions for such transfers.

Manufacturers must digitalise to stay ahead, remain competitive: OpenMinds founder

PETALING JAYA: Established manufacturing companies need to adopt digitalisation in order to create support for clients, stay ahead and remain competitive regionally, said OpenMinds founder Jan Wong.

“OpenMinds sees clients becoming digitalised and this way of putting simple efforts of digitalisation into a company will create a system that is more productive and efficient. Companies need to be aware that implementing digitalisation is actually not scary or expensive if the plan is to start with small steps first, then continue accordingly,” he said in an exclusive interview with SunBiz.

Wong noted the lack of awareness among companies in adopting digitalisation and felt it is not because they do not realise that technology is helpful, but it is more about application and on how technology can benefit them.

“OpenMinds finds companies understand the need for technology ... but their lack of awareness appears in applying technology into their businesses, which contributes to how technology can help companies to perform well,” he stated.

Wong said that most of these manufacturing companies are big organisations that have been in the market for a relatively long period, which means the gap and the exposure towards tools and technologies started where companies have more employees from millennials and Generation Z with advanced technological knowledge, while Generation X and baby boomers continue to manage the companies with barriers to adoption of technology.

“The gap was created due to not having many good resources here, especially in Malaysia. Digital skills are not only about social media advertising, but knowledge in the area of manufacturing is important so as to help the companies to stay ahead.

“Due to these reasons, OpenMinds sees a big number of manufacturing companies now choosing to wait and watch, where this turns out to be the most obvious impact that slows down manufacturing companies from achieving bigger accomplishments in Malaysia,” he added.

Wong emphasised that government and private sector should dive deeper into digital skillsets and the focus needs to be shifted to developing deeper verticals, as Malaysia has created too many “getting-started” courses.

“OpenMinds thinks that it will also help if there are companies that can bring their people on a ‘journey’. As improving skillsets needs to be done in steps, OpenMinds proposes that there should be a journey on phases of progression to correct the awareness and bridge the skills gap, then to dive in and provide support for the companies to take the smallest step forward to digitalisation,” he said.

On the benefits that manufacturing companies can derive from implementing automation, he opined that automation plays a major role in speeding up the generation of reports, compared to manual compilation.

“Having automation to take place in reporting, communication and even customer relationship management for better scaling, will contribute much into helping these companies. Some companies are still relying on the traditional methods while these methods can be replaced by portal management, therefore helping them to scale everything faster,” said Wong.

Meanwhile, he said OpenMinds targets to broaden its core areas of expertise in performance, marketing, data analytics, education and consultancies in the next five to 10 years. “The company aims to enhance the Malaysian manufacturing sector by leveraging advanced marketing technology solutions,” he added.

National Decarbonisation Committee will monitor greenhouse gas mitigation measures

KUALA LUMPUR: The National Decarbonisation Committee will monitor and accelerate the implementation of greenhouse gasses (GHG) mitigation measures at the national level, said Natural Resources and Environmental Sustainability (NRES) Ministry secretary-general Datuk Ching Thoo Kim.

The National Climate Change Action Council at its meeting earlier this month, agreed to set up the National Decarbonisation Committee, which will be chaired by the NRES minister.

“This initiative is as outlined in the New Industrial Master Plan, the National Energy Transition Roadmap, the Hydrogen Economy and Technology Roadmap and new policies such as the National Climate Change Bill,” Ching said at the launch of Malaysia Property Expo (Mapex) on Friday.

Based on the current challenges of climate change, he said, the government has set an aspirational target of net zero GHG emissions for the country by 2050, based on the findings of the development of the Nationally Determined Contributions Roadmap and Action Plan and the Long-Term Low Emission Development Strategies (LT-LEDS).

“Recognising the need for financing facilities for developers to undertake green projects, the government has introduced the Green Technology Financing Scheme 4.0 (GTFS 4.0) with a fund of RM1 billion until Dec 31, 2025. This scheme offers a government guarantee of up to 60% on green technology costs, as well as an interest and profit rebate of 1.5% per annum for the first five years,” Ching said.

One of the improvements introduced through GTFS 4.0 is the expansion of categories to developers of affordable green housing and charge point operators of electric vehicle charging infrastructure.

“The government offers this scheme to green technology producers and users and energy service companies undertaking energy efficiency projects,” said Ching.

Meanwhile, Mapex organising committee chairperson Datuk Chan Kin Meng said it is targeting potential sales exceeding RM30 million at the three-day event which began on Friday.

“Based on our previous success, we are optimistic about achieving potential sales exceeding RM30 million. Mapex also targets nearly 30,000 visitors to enliven the exhibition at MVEC Mid Valley, Kuala Lumpur,” he said, adding that the event will showcase around 10,000 properties valued at about RM9 billion compared with RM8 billion last year.

Marine & General registers Q4 pre-tax profit of RM27.8m

KUALA LUMPUR: Marine & General Bhd reported revenue of RM83.1 million for the fourth quarter ended April 30, 2024, a 9.1% improvement over the figure in the preceding year’s corresponding quarter.

Fleet utilisation for upstream and downstream divisions was 77% and 75% respectively compared with 73% and 84% respectively recorded in the preceding year’s corresponding quarter.

The upstream division continued as the main contributor, generating 80% of the group’s revenue for the quarter, while the downstream division generated the remaining 20%.

During the fourth quarter, the group disposed of another tanker under the downstream division and recognised a gain of RM5.4 million. Considering the higher revenue recorded and gain from disposal of the tanker, the group recorded RM27.8 million profit before taxation compared to profit of RM48.6 million in the preceding year’s corresponding quarter. This reflects the lower net vessel impairment reversal during the quarter and higher vessel repairs incurred during the period.

For the cumulative 12-month period, the group recorded RM347.9 million revenue, reflecting a 13.2% increase over that recorded in the previous corresponding period. The increase was in line with higher charter activities and charter rates for both upstream and downstream divisions.

Although the group recorded higher revenue during the latest 12-month period, the results were affected by lower net vessel impairment reversal. Consequently, the group posted RM69.3 million profit before taxation in line with the profit of RM69.8 million registered in the preceding year.

“The upstream division looks forward to an active year ahead in line with Petronas’ positive outlook for its drilling and exploration activities as highlighted in its Activity Outlook for 2023-2025. The board expects the vessel utilisation and charter rate increase to continue in the next financial year, although at a slower rate than the current financial year,” executive chairman Tan Sri Mohammed Azlan Hashim said.

In the downstream division, Marine & General disposed of two aging vessels in the financial year under review and is looking at further fleet optimisation measures to achieve better utilisation and financial performance moving forward.

Tax Matters – How to deal with audits and investigations

LATELY, there has been increased activity in the areas of tax audits and investigations. The key difference between a tax audit and an investigation is the element of surprise in the case of tax investigation, while a tax audit is made known beforehand to the taxpayer concerned.

Both have the same objective of identifying whether the taxpayer has been complying with the tax laws and legislations and identifying any shortfall in taxes to be collected. In most cases, whenever there are tax adjustments, penalties ranging from 15% up to 100% will be triggered, unless the adjustment is being made on a technical matter where the legal position is a grey area.

When self-assessment came into the picture in the early 2000s, the message sent out by the Inland Revenue Board (IRB) was that the audits were being conducted to educate taxpayers to help them comply with the laws and rules. However, the focus on education has somewhat receded over the past two decades and now it appears the motive of tax audits is slanted towards tax collection. It would be to the benefit of the country if there is a greater shift back towards education rather than enforcement and collection of taxes and penalties. Penalties should only be imposed when there is real culpability by the taxpayer.

Dealing with audits

The IRB has sufficient powers to carry out audit and unannounced investigation visits to collect documents, question the taxpayers, take statements, copy files from your hard drives, servers and cloud. They do not need a warrant from the court.

Investigations are a little “frightening” because a whole group of officers which perhaps may be more than 10 officers could descend upon your offices without any prior notice and start collecting information from your premises and interviewing officials from the company.

However, in an audit, you are informed well in advance of their visit.

Thereafter the process is the same because both involve questioning the taxpayers and collecting documents. At this stage, it is best to cooperate with the IRB officials and provide them with as much information as they require. However, if you are not sure of the facts and you are not able to answer the question, it is best to inform the IRB officials that you will revert to them with the answers after checking your facts.

Generally, the taxpayers are not technical people and, therefore, if there are any issues that involve technical matters, it would be best to immediately call your tax agent to be present at the audit or investigation to answer those questions or guide you in answering such questions.

The smaller tax audits are usually conducted at the IRB’s offices and is referred to as a desk audit. The larger audits usually involve a field visit to the taxpayer’s offices. We understand that the IRB is desirous in increasing the field audits so that they can get a better understanding of the taxpayer’s business.

Once the visits are over and the tax officials come up with their findings, it is time for the taxpayer and his advisers to either accept the findings, or rebut the findings supported by facts, evidence and law. It is extremely important that the taxpayer communicates his actual conduct of the business because if there is a misunderstanding by the IRB officials, the application of the law by the IRB officials could also be incorrect.

Finally, the taxpayer and the IRB officials can come to an amicable settlement on the various issues. In the event you are unable to agree with the IRB and the IRB issues a notice of additional assessment, you should within 30 days file an appeal to the Special Commissioners. However, the taxpayer must pay the tax within a 30-day period while the matter is under appeal.

Normally, audits and investigations can be settled provided the taxpayer and the IRB officials have a good working relationship and are willing to listen to one another’s explanations. The whole process should not be confrontational but should be reconciliatory.

Berrypay targets rapid growth, aims to support underserved communities

PETALING JAYA: Berrypay, a fintech company, targets to grow rapidly after noticing that many segments of society are still underserved and the whole idea of the company’s system is to get these users to stay connected and accessible.

He said Berrypay’s users can now experience faster processing time for international money transfers, fewer waiting days for funds to reach their destination and transactions can be executed swiftly, ensuring money arrives at the needed time.

“The partnership will also provide security as Mastercard’s global security protocols safeguarding every transaction, means that all transactions are protected every step of the way,” he said.

MasterCard vice-president of account management Devesh Kuwadekar said the collaboration of Berrypay with MasterCard on cross-border services covers more than 60 currencies and will add value beyond transactions by providing solutions that alleviate the pain of using cash.

“The company is focused on innovation, delivering solutions that improve lives and create more secure payments, which a fintech company like Berrypay is driving innovation in payments and businesses,” he added.
