Tax Matters – Providing incentives does not mean a loss for the government

MOST countries, especially emerging markets, have used tax incentives to attract foreign direct investments. Even developed economies such as Europe and America provide incentives to attract investments by providing tax breaks or cash grants.

Emerging markets do not have the capacity to give grants, and they are confined to providing tax breaks. Being in a competitive world, Malaysia cannot avoid giving tax incentives because our neighbours also compete for similar investments by providing equal or better incentives.

When investors decide on Malaysia, they base their decisions on a multitude of factors. Inevitably, tax incentives are one of the key factors they will compare against that of our neighbours.

Since capital is mobile, Malaysian private investors, too, will look at the availability of incentives although they are likely to be biased towards Malaysia since their home is in Malaysia and they are based here. However, in maximising the return on capital, whether they are foreign investors or local investors, the weightage given to the sentimentality of their home base is negligible because they are looking for maximum returns for their shareholders and stakeholders.

Government concern

The government, however, is always concerned about the potential loss of taxes due to the availability of incentives as it will negatively impact the federal budget. The concern may be valid, but it becomes redundant once they are willing to understand that, in the long run, there will be a pay-off which will outweigh the taxes forgone.

This will come in the form of providing new employment, which will have a multiplier effect on the economy due to the increased consumer spending. The whole supply chain that will support the new investment (such as local suppliers through logistics, materials, consumables, professional and financial services, etc) will be an additional contribution to the economy.

Incentives bring in additional taxes

Tax breaks provided to new investments are not a loss to the country. At times, there will be additional taxes which outweigh the incentives given to the investor.

Everybody engaged with the investor will pay taxes. Employees, suppliers, professional advisers and service providers, financial institutions providing financial products will pay their share of taxes when there are transactions with the new investor.

Benefits outweigh the loss of taxes

It is important for the authorities to carry out a proper cost benefit analysis. The benefits should not only include the taxes collected from the employees and suppliers but should also consider the multiplier effect it will have on the economy through the additional spending by all the stakeholders involved or connected with the new investment.

A good example of a non-tax benefit which is rarely considered is investments located in remote areas which bring in new infrastructure that will also benefit the community at large in that area which otherwise might not have been forthcoming. The social and economic effect of that infrastructure should not be ignored.

Another important ripple effect of new investments is the upskilling of the workforce.

Incentives are also extremely useful for reducing the financial risks for local companies investing in new technology and products, which will make them more competitive and dynamic especially in a fast-changing world. This will also encourage innovation, particularly if incentives are given for research and development activities.

A proper cost benefit analysis taking into account quantitative and qualitative factors should be considered and, in many cases, it will show that providing the benefit and attracting the investments will outweigh the tax forgone.

It must be remembered that attracting such investments is an addition to the economy which did not exist in the past and, therefore, there is no loss to the government.

WORQ plans to expand beyond Klang Valley, eyes Johor and Penang

PETALING JAYA: Coworking space provider WORQ is expanding outside the Klang Valley to Johor and Penang as early as this year to capture the demand for flexible workspaces in Malaysia’s key economic hubs.

WORQ CFO and strategist Andrew Yeow said the team has visited Johor a few times and there is a lot of excitement, especially with the official announcement of the Johor-Singapore Special Economic Zone (JS-SEZ).

“Klang Valley is still the core area for our expansion, but whether it’s up north in Penang or down south in Johor, these are, I would say, the natural next cities we will be exploring. The economy is doing well. So, we try our best to basically capture the growth in that sense,” he told SunBiz in an interview.

Yeow said the company anticipates opening up to four outlets annually, targeting 100,000 square feet of workspace each year. “By 2026, WORQ will likely have established a presence in either Johor or Penang, driven by economic activity and demand for business services in these states.”
WORQ CEO Stephanie Ping said as Southeast Asia benefits from supply chain diversification and rising foreign investment, WORQ aims to be at the forefront of Malaysia’s coworking space revolution to support businesses and foster economic growth.

“There is a clear opportunity for countries such as Malaysia, Vietnam, and Thailand to benefit from this as businesses move away from dependency on a single country like China,” she said.

Ping said Southeast Asia is increasingly attracting foreign investments as these businesses seek to diversify their supply chain. “In this context, Malaysia will benefit from the surge in investment with companies likely to open more workspaces in this region.”

Initiatives such as the JS-SEZ are expected to enhance connectivity and cross-broader economic collaboration.

“This collaboration between Malaysia and Singapore will help address the needs of their growing economies as it is positioned to boost regional development, attract global investors, and create more job opportunities. Businesses are actively looking to establish operations near both Malaysia and Singapore, with sectors like manufacturing, technology, and logistics seeing significant expansion,” Ping said.

She added that tax incentives in Budget 2025 are driving demand for coworking spaces.

With Budget 2025 introducing incentives for flexible work arrangements, inclusivity and workforce diversification, coworking spaces are stepping up to provide tech-enabled, community-driven solutions that align with evolving business needs and macroeconomic trends, Ping said.

“Coworking spaces are responding to this by offering flexible and customisable enterprise solutions that make it easier for multinational companies to establish a presence in Malaysia – with more adaptable membership options and tech-enabled workspaces, these spaces are now better equipped to support the diverse working models encouraged by the government’s new policies,” she added.

Ping said coworking spaces are upgrading their facilities with artificial intelligence-driven solutions, high-speed internet, and smart office solutions to provide a seamless, modern working environment for employees. “These will become commonplace, slowly replacing more traditional office spaces as businesses look to either completely replace or supplement their offices with coworking options.”

Budget 2025 tax incentives include expenses for capacity building and software acquisition, capped at RM500,000 – which are now eligible for an additional 50% tax deduction.

In addition to that, incentives to encourage hiring women returning to work and disabled individuals are introduced. Employers can receive a similar 50% tax deduction on employment expenses for hiring women returning to the workforce for a period of 12 months.

Businesses that hire persons with disabilities will receive an incentive of RM600 per month for three months. These incentives provide further opportunities for businesses to diversify their workforce while benefiting from tax relief. -

Axis-REIT exploring acquisition of data centre assets

KUALA LUMPUR: Axis Real Estate Investment Trust (Axis-REIT) is exploring the acquisition of assets specifically for data centres in addition to its traditional focus on industrial assets.

CEO and executive director Leong Kit May said the company has been looking into the country’s data centre market and development.

“The data centre business and operations are different from our industrial assets, as there are various factors to be considered, such as electricity, utilities, type of data centres like Tier 1 or Tier 2, and other factors.

“The capitalisation rate for data centres, which represents the ratio of net operating income to asset value, stands at approximately 6% to 7%. So we have to make the right decision before acquiring any assets for data centres,” she told reporters and analysts at a briefing on Axis-REIT’s financial results on Friday.

For the financial year ended Dec 31, 2024 (FY24), Axis-REIT achieved a total trust income of RM320.1 million, reflecting a 12% year-on-year growth, while net trust income amounted to RM212.5 million.

This growth was primarily driven by contributions from newly acquired properties, new tenancies at Axis Mega Distribution Centre (Phase 2), and positive rental reversion across its portfolio.

Considering the fair value adjustment on the portfolio during the year, net income before tax decreased to RM212.5 million in FY24 compared to RM221.6 million in FY23. This was due to a lower gain in fair value of investment properties. The gain in fair value in FY24 was RM49.4 million, in contrast to RM81.3 million in FY23.

For Q4’24, Axis-REIT reported a total trust income of RM87.8 million, representing a 16% increase from RM75.6 million in the same quarter last year. Net trust income was RM93.5 million, reflecting a resilient portfolio performance.

“We closed FY24 on a strong note. The strategic acquisitions completed during the year and the stable performance of our existing properties reflect our focus on delivering sustainable returns to our unitholders. As we look ahead to 2025, we remain optimistic and focused on pursuing accretive opportunities in high-quality assets to ensure consistent value creation,” Leong said.

In Q4’24, Axis-REIT achieved significant milestones, including the acquisition of Axis Facility 3 @ Bukit Raja, Selangor, for RM313 million on Oct 8. The company acquired Axis Facility 1 @ Pulau Indah, Selangor, for RM110.08 million on Oct 11, and Axis Facility 2 @ Pulau Indah, Selangor, for RM48.57 million on Nov 26.

Additionally, Axis Steel Centre @ SiLC, Johor’s disposal for RM162 million was completed on Dec 12.

By Dec 31, 2024, the portfolio size had expanded by seven properties to a total of 69, with an additional 1.8 million sq ft of space under management and a positive rental reversion rate of 5.3%. As of the end of 2024, Axis-REIT’s portfolio comprised 69 properties with a nationwide presence across Malaysia, including 56 properties operating at full occupancy.

The company’s total assets under management stood at RM5.26 billion, covering 15.15 million sq ft of space. Its financing ratio was 33.3%. The portfolio boasts a solid industrial space segment with an overall occupancy rate of 95% and a weighted average lease expiry of 4.9 years.

Axis-REIT’s 69 properties are strategically located in prime industrial areas, including the Klang Valley, Johor, Penang, Pahang, Negeri Sembilan and Kedah. The geographical diversification is designed to capitalise on the rapid growth of existing and emerging regional industrial hubs.

Reclassified as an Islamic REIT in 2008, Axis-REIT recorded a year-to-date distribution per unit (DPU) of 9.27 sen in 2024 and achieved a market capitalisation of RM3.5 billion.

Kenanga Investment Bank Bhd, in a report, said Axis-REIT’s ongoing proposed acquisitions that have been progressively completed in FY24 will continue to support its FY25 earnings growth prospects. It said Axis-REIT acquired more than RM500 million worth of assets in FY24, which is higher than its average historical acquisition record.

“Having said that, given the fact that industrial assets are now experiencing yield compression due to landlords raising asset prices at a pace faster than the rate of rental reversions, we do not foresee Axis-REIT continue acquiring assets in FY25 as aggressively as it did in FY24,” it added.

Top Glove anticipates strong recovery in 2025 on rising demand, redirection of orders

PETALING JAYA: Top Glove Corporation Bhd anticipates a strong recovery in 2025 on the back of rising demand and redirection of orders following the United States’ implementation of new tariffs on China-made gloves.

The company, which is the world’s largest glove manufacturer, also expects its performance in the coming quarters to be driven by key factors such as the ongoing global glove stock replenishment, improved pricing power as demand rises, and supply constraints exacerbated by a shortage of foreign labour in Malaysia.

“More inflow of orders from US customers, stemming from trade diversions following the new 50% tariff on glove imports from China which came into effect on Jan 1, 2025, with a further increase to 100% by January 2026. We will see the benefits of the full impact of this tariff in 2025,” Top Glove told SunBiz via a statement.

While it is poised to benefit from the redirection of US orders from China, Top Glove expects no new expansion expected by Chinese companies due to US tariff issues. “Due to the uncertainty surrounding potential US actions, expansion by China-based manufacturers outside of China is also expected to be minimal/modest,” it said

Top Glove targets a 60% increase in sales volume for financial year 2025 and foresees improved profit margins from higher efficiency and utilisation rates.

On Jan 1, 2025, the US imposed a 50% tariff on rubber medical and surgical gloves imported from China. This tariff is set to increase to 100% by January 2026.

Despite potential fluctuations in raw material prices and exchange rates, Top Glove is confident that strong demand for gloves, coupled with supply constraints, will allow it to pass costs on to consumers.

“We expect the glove industry recovery to sustain, and for the group to deliver increasingly stronger performances in the coming quarters,” said Top Glove.

Phillip Capital Sdn Bhd equity research analyst Aiman Kamil Ahmad Shauqi said it remains positive on the rubber glove sector this year.

He noted that the industry has faced challenges in the aftermath of the Covid-19 pandemic, primarily due to an oversupply situation that led to reduced sales volumes and depressed average selling prices (ASP).

“During the oversupply period, local glove manufacturers struggled to raise ASP due to lower customer acceptance, and Chinese glove manufacturers, who used coal as a primary energy source, sold their products at significantly lower prices – resulting in a loss of market share for local producers.

“However, as inventories have been depleted and some stock has expired, local manufacturers now have room to recover,“ Aiman Kamil said.

He added that the main focus in 2025 will be on the extent of earnings recovery among glove manufacturers, sales volume trends, opportunities for higher ASP, and the timeline for recommissioning capacity.

“Investors should closely monitor developments in US-China trade tensions, as they have significant implications for the glove sector, especially with the US revising its tariff policy on rubber medical and surgical gloves.”

Regarding earnings, Aiman Kamil said both Hartalega Holdings Bhd and Kossan Rubber Industries Bhd have shown consistent operational improvements and earnings growth in recent quarters, driven by better sales volumes and higher ASP. “However, Hartalega reported losses in the latest quarter due to start-up costs related to recommissioning its new line.”

Utilisation levels among local manufacturers rose to 75–90% in second-half 2024, reflecting increased customer demand, said Aiman Kamil.

Phillip Capital channel checks suggest that recovery momentum remains positive, with ASP stabilising at US$19–22 (RM85.63-99.15) per thousand pieces, up from US$18 in 2023, and sales volume expected to grow by 5–10% in the current quarter, supported by restocking and redirected orders from Chinese manufacturers to Malaysian players.

“Local manufacturers may consider raising ASPs by 3–5% quarter-on-quarter, targeting US$22–24 per thousand pieces in 2025.”

Philip Capital maintains an overweight stance on the sector, favouring companies with strong balance sheets and significant US sales exposure to capitalise on the ongoing recovery.

“Hartalega has the largest US exposure at about 60%, followed by Kossan 45%, and Top Glove 17%.”

Aiman Kamil said the sector’s outlook remains positive, driven by continued earnings growth and favorable dynamics arising from US–China trade tensions.

“Malaysian manufacturers are expected to regain a larger global market share, potentially increasing their share to 50% (up from 35–45%), driven by order diversions and rising demand.”

Malaysian Rubber Glove Manufacturers Association president Oon Kim Hung told SunBiz that Malaysia should see demand for rubber gloves returning with some members already anticipating order shipments from their US customers to accelerate from the end of next month.

“In 2023 until the middle of 2024, our industry was challenged by global overstocking of gloves and the collapse of the ASP. Coupled with heavy competition from the region, particularly China, Malaysian manufacturers struggled but still managed to perform fairly.”

Oon said the oversupply situation is tapering off and ASP have seen improvement.
“Additionally, the US tariff on China that has come into effect since this January this year should have some impact on global trade as well as our export trade. Market direction for 2025 will continue to be dictated by developments surrounding global geopolitical tension, particularly in the Middle East, as well as the economic policies of the US under Trump administration,” he added.

Digital transformation, affordability, sustainability to shape travel in 2025: Traveloka president

Traveloka president Caesar Indra said Apac and Malaysian travellers are increasingly relying on digital tools for travel planning, with 52% using social media, 50% turning to travel apps and 49% utilising platformssuch as Traveloka, highlighting the growing demand for seamless, tech-enabled travel solutions.

“Affordability remains a priority, as 46% of travellers prioritise cost, and promotions for less-considered destinations influence 39%.

“Additionally, while 82% of Malaysians are open to eco-friendly travel, barriers such as cost and accessibility must be addressed to encourage greater adoption of sustainable practices,” he told SunBiz.

Traveloka’s white paper, published recently, showed that 37% of Malaysians prioritise domestic travel, driven by factors like affordability, convenience, and safety.

“These trends emphasise the importance of investing in localised digital platforms, offering practical and visible sustainable travel options, and designing value-driven experiences that align with travellers’ evolving expectations.

“By adapting to these shifts, businesses can better meet travellers’ needs and remain competitive in an ever-changing environment,” Caesar said.

To stimulate domestic tourism growth in 2025, he said, domestic tourism operators should concentrate on initiatives that showcase local attractions while offering personalised, value-focused experiences that align with changing traveller preferences.

He added that travel businesses can partner with eco-friendly hotels, such as those certified by Traveloka’s partner, the Global Sustainable Tourism Council, and collaborate with local communities to create authentic, sustainable travel experiences.

Additionally, the white paper indicates that travellers in Apac cite cost and difficulty finding sustainable options as the primary barriers to choosing them.

“Providing competitive pricing and enhancing accessibility for eco-friendly alternatives will be crucial in driving greater adoption among travellers.

“Our white paper indicates that 37% of Malaysians prioritise domestic travel, influenced by affordability, convenience, and safety factors. With 46% of Malaysians saying the price is a key consideration when choosing accommodation, bundling domestic accommodations, transportation, and activities into affordable packages can cater to the needs of Malaysian travellers.

“Offering promotions for off-peak travel and loyalty programmes can further incentivise repeat visits,” Caesar said, adding that promotions and discounts are key to capturing Malaysia’s price-sensitive travellers.

Based on the white paper, 39% are willing to explore destinations they might not normally choose if the deals are compelling.

“To stay competitive, travel operators must go beyond generic offers by using data analytics to pinpoint the right audience and timing. Personalised, value-driven promotions tailored to traveller profiles can drive higher conversions, foster loyalty, and maximise returns,” Caesar said.

When asked to elaborate on travel operators exploring new options or technologies to streamline the payment process, Caesar said payment preferences across the Apac region vary widely, driven by cultural differences and differing levels of technological adoption.

“It is important to understand customer behaviour and to tailor payment solutions accordingly. We believe this will enhance customer experience, foster trust, and drive higher engagement and loyalty. For travel businesses, the key goes beyond offering a range of options like buy-now-pay-later, digital wallets, and QR (quick response) code payments,“ he said.

Regarding the challenges industry players and operators anticipate in the Malaysian and the broader Apac travel market in 2025, Caesar said varying levels of digital maturity, balancing domestic and international travel preferences, and the cost of sustainable options require innovative solutions.

“By focusing on localised, affordable offerings and leveraging technology to create personalised experiences, operators can successfully navigate these challenges in 2025,” he added.

Tax Matters – Unveiling the highlights of the Johor-Singapore Special Economic Zone

ON JAN 6, the prime ministers of Singapore and Malaysia signed a historical agreement creating the Johor-Singapore Special Economic Zone (JS-SEZ), capitalising on the strengths of both economies for the benefit of the two countries. It will provide an avenue for Singaporean companies to bring in capital, business expertise and technology, and for Malaysian companies to provide people, land and infrastructure.

The SEZ is expected to promote investments in 16 economic sectors, including manufacturing, logistics, food security, tourism, energy, digital economy, green economy, financial services, business services, education and health. Specific areas such as aerospace, electrical and electronics, chemical, medical devices and pharmaceuticals have been added as key sectors for high-value growth.

There will be freer movement of people who are involved in the SEZ with passport-free clearance through the use of Quick Response codes. The movement of goods between SEZ and Singapore is expected to be simplified. Details on the customs and immigration procedures should be available in due course.

Incentives available

Effective Jan 1, investors in the SEZ undertaking new investments in qualifying manufacture and services activities – such as artificial intelligence and quantum computing supply chain, medical devices, aerospace manufacturing, and global services bub – will be able to enjoy a special tax rate of 5% up to 15 years. Additional tailor-made incentives will be available to businesses operating in certain flagship areas in the SEZ. Eligible knowledge workers working in the SEZ will be able to enjoy a flat 15% tax rate on their personal income for 10 years.

In addition to the above, tax perks such as special incentives for businesses relocating to Malaysia, green technology incentives, global service hub incentives, pioneer status and investment tax allowance, and other incentives such as grants for capital investment, research and development, and workforce training will be available.

The interaction with other incentives

It would appear at the moment that the existing incentives available to the Johor region such as the Iskandar incentives, Forest City Special Financial Zone incentives, family office incentives and Pulau 1 which is a customs tax-free area, are likely to be mutually exclusive from the incentives accorded to the investors under the JS-SEZ.

Issues to think about

Although the proposed special corporate tax rate is 5%, in the event the investors are subject to the Global Minimum Tax then the effective corporate tax rate will be uplifted to 15%. This is only applicable to multinational enterprises with a turnover in excess of €750 million (RM3.4 billion).

Companies investing into SEZ should factor in the double tax agreement in calculating the tax impact of the investment and money flows from the investment.

Other normal tax issues such as withholding tax, transfer pricing, customs duty, sales tax and service tax remain unchanged unless any announcements are made in the future.

We also understand that in the near future there will be guidelines issued to clarify the criteria for claiming the incentives and the procedures to be followed. Perhaps the guidelines may help existing investors operating in the SEZ to determine whether they will be allowed to opt for the new incentives provided under the JS-SEZ regime without any clawback or will they be excluded from enjoying the new incentives.

Investors would also be interested to find out whether they can transact and maintain bank accounts in foreign currencies, especially in the Singapore dollar. Will this be permitted?
